Studio Savior Terms of Service
These Terms of Service ("Terms") govern Studio Savior accounts, subscriptions, online services, downloads, and related services provided by Elwell Automation Consulting LLC ("EAC," "we," or "us"). By creating an account, purchasing a subscription, or using these services, you agree to these Terms. The desktop software is also governed by the Studio Savior EULA.
1. Eligibility and accounts
You must be legally able to enter into these Terms and must provide accurate account information. You are responsible for protecting your credentials and for activity under your account. Notify EAC if you believe your account has been compromised.
2. Free and Pro service
Studio Savior may offer Free and paid Pro features. Feature sets, reasonable technical limits, supported versions, and offline entitlement periods may change as the product evolves. We will not retroactively charge you for a Free account.
3. Pro subscriptions and billing
Studio Savior Pro is currently offered at US $15 per month unless a different price is clearly shown at checkout. Pro subscriptions automatically renew each billing period until canceled. Payments are processed by Stripe. Taxes may apply where required.
You may cancel through the billing-management portal available from your Studio Savior account. Cancellation stops future renewals and normally leaves paid access available through the end of the current paid billing period. Except where required by law or expressly stated otherwise, fees already charged are non-refundable. If EAC materially changes subscription pricing, the new price will be disclosed before it applies to a future renewal as required by applicable law.
4. Email verification and licensing
Some features require a verified email address, account authentication, periodic internet access, or a valid signed entitlement. Temporary offline use may be available through cached entitlements. You may not bypass or tamper with authentication, licensing, billing, feature, or entitlement controls.
5. Acceptable use
You may not use Studio Savior or EAC services to violate law, infringe rights, interfere with service operation, probe or attack systems, distribute malware, abuse accounts, or gain unauthorized access. You may analyze only files and systems you are authorized to access.
6. Local L5X processing
Studio Savior is designed to process L5X project contents locally on your computer during normal analysis. Account, licensing, billing, email, update, and download services exchange the limited service data described in our Privacy Policy.
7. Engineering disclaimer
Studio Savior is a productivity and analysis tool, not a safety system or engineering approval service. Analysis may be incomplete or inaccurate. You remain responsible for independent engineering review, backups, testing, validation, commissioning, machine safety, and production changes. Do not rely on Studio Savior as the sole basis for a safety-critical or production-critical decision.
8. Service availability and changes
We may maintain, modify, secure, suspend, or discontinue features or services. We do not guarantee uninterrupted availability. We may release updates or require supported versions for security, compatibility, or licensing.
9. Intellectual property
EAC and its licensors retain all rights in Studio Savior, its services, branding, software, documentation, and related intellectual property. These Terms do not transfer ownership. Use of the desktop software is licensed under the EULA.
10. Third-party services
We use third-party providers for functions such as payment processing, transactional email, and software distribution. Their services are governed by their own terms and privacy practices. Studio Savior is not affiliated with or endorsed by Rockwell Automation unless expressly stated otherwise.
11. Disclaimers
TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." EAC DISCLAIMS EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ERROR-FREE OPERATION.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR LOST PROFITS, LOST PRODUCTION, DOWNTIME, LOST DATA, LOST BUSINESS, EQUIPMENT DAMAGE, OR SUBSTITUTE-SERVICE COSTS. EAC'S AGGREGATE LIABILITY ARISING FROM STUDIO SAVIOR WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID EAC FOR STUDIO SAVIOR DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR US $100. These limitations do not apply where prohibited by law.
13. Suspension and termination
You may stop using the service at any time. EAC may suspend or terminate access for material violations, unlawful use, fraud, abuse, nonpayment, or attempts to defeat licensing or security controls. Pro cancellation and account termination are separate: cancel recurring billing before ending use if you do not want a future renewal.
14. Governing law
These Terms are governed by Washington law without regard to conflict-of-law rules. Subject to applicable law, disputes will be brought in state or federal courts located in or serving Pierce County, Washington.
15. Changes and contact
We may update these Terms. Material changes will be posted with a new effective date and additional consent will be requested when legally required. Questions may be sent to brandon@elwellautomation.com.
