Studio Savior EULA

This page provides the End User License Agreement presented by the Studio Savior Windows installer.

This End User License Agreement ("Agreement") is between Elwell Automation Consulting LLC, a Washington limited liability company ("EAC," "we," or "us"), and the person or entity installing or using Studio Savior ("you"). By installing, accessing, or using Studio Savior, you agree to this Agreement. If you do not agree, do not install or use the software.

1. SOFTWARE AND LICENSE

Studio Savior is proprietary software for analyzing Rockwell Studio 5000 L5X project exports. Subject to this Agreement and any applicable subscription terms, EAC grants you a limited, revocable, non-exclusive, non-transferable license to install and use Studio Savior for your internal lawful engineering and analysis activities. The Free and Pro tiers may provide different features, limits, and entitlement periods.

2. OWNERSHIP

Studio Savior, including its software, interfaces, analysis methods, branding, documentation, and related intellectual property, is owned by EAC or its licensors. This Agreement grants a license to use the software; it does not sell or transfer ownership.

3. RESTRICTIONS

Except where applicable law expressly permits otherwise, you may not: (a) copy or redistribute Studio Savior except as expressly authorized by EAC; (b) sell, sublicense, rent, lease, or provide the software as a standalone service to third parties; (c) reverse engineer, decompile, disassemble, or attempt to derive source code; (d) bypass, defeat, or tamper with licensing, entitlement, authentication, feature, or usage controls; (e) use Studio Savior to violate law or third-party rights; or (f) remove proprietary notices.

4. LOCAL PROJECT PROCESSING

Studio Savior is designed so L5X project contents are processed locally on your computer during normal analysis. Account, licensing, billing, email, update, and download services may communicate with EAC or its service providers as described in the Studio Savior Privacy Policy. Do not submit information to Studio Savior that you are not authorized to possess or analyze.

5. ENGINEERING AND SAFETY DISCLAIMER

Studio Savior is an analysis and productivity tool. It is not a safety system, safety controller, engineering approval, validation service, or substitute for qualified professional judgment. Studio Savior does not directly control industrial equipment.

Software analysis can be incomplete, inaccurate, or affected by project structure, unsupported instructions, dynamic or indirect references, external access, incomplete exports, configuration, or software defects. Labels such as unused, unreferenced, writer, reader, upstream, downstream, dependency, or similar analysis results are informational and are not a representation that a tag, instruction, routine, device, or other project element is safe to change or delete.

You are solely responsible for independently reviewing and validating all engineering decisions, code changes, downloads, commissioning activities, safety functions, machine behavior, and production changes using appropriate engineering procedures, backups, testing, site requirements, and applicable laws, codes, and standards. Never rely on Studio Savior as the sole basis for a safety-critical or production-critical decision.

6. ACCOUNTS, ENTITLEMENTS, AND UPDATES

Some features require an account, internet connectivity for periodic entitlement validation, or a paid subscription. Cached entitlements may permit temporary offline use. EAC may provide updates, patches, or new versions and may change reasonable technical requirements needed to operate or secure the software.

7. THIRD-PARTY SOFTWARE AND SERVICES

Studio Savior may interoperate with or depend on third-party software and services. Third-party products are governed by their own terms. Rockwell Automation, Studio 5000, ControlLogix, CompactLogix, and other third-party names are the property of their respective owners. EAC is not affiliated with or endorsed by Rockwell Automation unless expressly stated otherwise.

8. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDIO SAVIOR IS PROVIDED "AS IS" AND "AS AVAILABLE." EAC DISCLAIMS ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND ERROR-FREE OPERATION. EAC DOES NOT WARRANT THAT ANALYSIS RESULTS WILL IDENTIFY EVERY REFERENCE, DEPENDENCY, DEFECT, OR CONDITION.

9. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAC WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, LOST PRODUCTION, DOWNTIME, LOST DATA, LOST BUSINESS, EQUIPMENT DAMAGE, OR COSTS OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO STUDIO SAVIOR. TO THE MAXIMUM EXTENT PERMITTED BY LAW, EAC'S AGGREGATE LIABILITY ARISING FROM OR RELATED TO STUDIO SAVIOR WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID EAC FOR STUDIO SAVIOR DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) US $100. These limitations do not apply where applicable law prohibits them.

10. TERMINATION

You may stop using Studio Savior at any time. EAC may suspend or terminate access for material violation of this Agreement, unlawful use, fraud, abuse, or attempts to defeat licensing or security controls. Upon termination, your license ends, except provisions that by their nature should survive.

11. GOVERNING LAW

This Agreement is governed by the laws of the State of Washington, without regard to conflict-of-law rules. Subject to applicable law, disputes relating to this Agreement will be brought in state or federal courts located in or serving Pierce County, Washington, and the parties consent to their jurisdiction.

12. CHANGES

EAC may update this Agreement for future versions or continued service use. Material changes will be posted with a new effective date. Continued use after an updated Agreement becomes effective constitutes acceptance where permitted by law; where additional affirmative consent is legally required, EAC will request it.
